Terms of Service
These Terms of Service ("Terms") govern your access to and use of the NexGen Logistics Group platform, including the NexGen Broker, NexGen Carrier, and NexGen Freight mobile applications, associated web interfaces, APIs, and SMS messaging programs (collectively, the "Services"). By using the Services, you agree to these Terms.
1. Acceptance of Terms
By creating an account, downloading any NexGen application, or providing your phone number to NexGen, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years of age and legally authorized to operate within the freight transportation industry in your jurisdiction to use the Services. By using the Services, you represent that these conditions are met.
3. User Roles
The platform serves three user roles: Broker Users (freight brokers and dispatchers), Carrier Users (truck drivers and motor carrier operators), and Customer Users (shipping customers). Features available to you depend on your designated role.
4. Account Registration
You must provide accurate, complete information when registering and keep your account information current. You are responsible for all activity under your account and must maintain the confidentiality of your login credentials.
5. Acceptable Use
You agree to use the Services only for lawful purposes related to freight logistics. You must not submit false information, impersonate others, attempt unauthorized access to any system, engage in double brokering, or use the Services to facilitate illegal activity.
6. Location Tracking
Carrier Users consent to GPS location data collection during active load assignments. Location data is used solely to provide real-time shipment tracking to brokers and shippers associated with the active load. Location tracking is not used during personal or off-duty time. 7. Intellectual Property
All software, designs, trademarks, and technology comprising the NexGen platform are owned by NexGen Logistics Group. You receive a limited, non-transferable license to use the Services for their intended purpose. You may not reverse engineer, copy, or create derivative works from any part of the platform.
8. Third-Party Services
The platform integrates third-party services including Mapbox (mapping), Anthropic (AI document processing for brokers), Expo (push notifications), Resend (email), and Twilio (SMS). Each is governed by its own terms and privacy policy.
9. Disclaimers
The Services are provided "as is" and "as available." NexGen makes no warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. NexGen does not independently verify carrier credentials and Broker Users bear full responsibility for carrier due diligence.
10. Limitation of Liability
To the maximum extent permitted by law, NexGen's total liability to you for any claim arising from these Terms or use of the Services will not exceed the greater of fees paid by you in the prior 12 months or $100. NexGen is not liable for indirect, incidental, consequential, or punitive damages.
11. Indemnification
You agree to indemnify and hold harmless NexGen and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your content, your violation of these Terms, or your freight operations.
12. Termination
NexGen may suspend or terminate your account at any time for violations of these Terms, regulatory non-compliance, fraud, or for any reason with notice. You may close your account by contacting support@nexgenlogisticsgrp.com.
13. Governing Law and Disputes
These Terms are governed by applicable law. Disputes will first be addressed through good-faith negotiation. If unresolved within 60 days, disputes will be submitted to binding arbitration under AAA rules. You may opt out of arbitration within 30 days of first use by emailing legal@nexgenlogisticsgrp.com.
14. Changes to These Terms
NexGen may update these Terms. Material changes will be communicated by email or in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of updated Terms.
SMS Messaging Terms
By providing your phone number to NexGen Logistics, you consent to receive SMS messages including (but not limited to) load assignment notifications, status updates, login credentials, delivery confirmations, and operational alerts related to your use of the NexGen platform.
Message frequency varies based on your activity on the platform. Message and data rates may apply.
To opt out of SMS messages at any time, reply STOP to any message you receive. To request help, reply HELP. After replying STOP, you will receive a confirmation message and no further SMS will be sent unless you opt back in.
